Description
Offshore Legal has just been instructed to source a junior to mid-level ECM-experienced English law qualified lawyer to work with an experienced ECM Legal team (team of 5 lawyers, all based in London) covering ECM and Convertible Bonds/Exchangeable Bond issuance, throughout EMEA (ie from Russia west to Spain and Scandinavia south through MENA to South Africa). Candidates will need some knowledge of product and bank issues, but obviously will not have had experience across all jurisdictions.
Other requirements include:
- An excellent sense of transaction handling and able to juggle deals and priorities; and awareness of the demands of covering deals for investment banking/capital markets at a bulge bracket US bank.
- Reliability and responsiveness; and a sense of urgency and rigour and accountability
- Au fait with typical ECM legal documentation such as NDAs, Engagement Letters, Agreement Among Underwriters, Underwriting Agreement, disclaimers, investor rep letters, auditor comfort letters and arrangement letters, law firm legal opinions; plus regulatory issues affecting ECM, such as MAR; MiFID2; UK IPO Reform etc.
